Terms & Conditions

  1. Fees are payable monthly in advance. Invoices will be sent monthly unless agreed otherwise. 

  2. Agreed expenses will be billed monthly for expenses incurred for the previous month.

  3. Unless agreed otherwise, an initial contract of three months is required with thereafter a rolling monthly contact. A three month review will take place and monthly thereafter.

  4. Invoices are payable by you within 7 days from the date of invoice in GBP currency. Overdue invoices will cause a pausing of work from our team on your project.

  5. We will seek client permission for all expenses prior unless otherwise agreed with the client.

  6. The contract agreement will be signed by both the client and Clerissa LTD.

  7. The contract agreement may be terminated by the client by providing three month's notice in writing. Clerissa LTD will be entitled to invoice the client for the agreed outstanding monthly fees for the full initial three month period if cancelled prior to the close of this period. Thereafter a one month notice period is required. 

  8. Clerissa LTD reserve the right to terminate a contract at any time and offer refund of any pre paid money left of the three month contract or rolling monthly contract.

  9. Termination of the contract is request in writing (Clerissa LTD. 45 Arnold Road. CO15 1DE. United Kingdom) or by email (christopher@clerissa.com).

  10. Clerissa LTD and their consultancy services are set to meet high standards. Clerissa LTD, the Consultant, shall use reasonable efforts to carry out the consultancy services and provide the deliverables only on pre agreed (by letter or email confirmation) targets / milestones / dates.
    The nature of PR and consultancy is not guaranteed and results cannot always be achieved - results and performances may differ from client to client. Finding wine buyers and increasing sales will have to be defined and agreed to prior to signing of any contract and payment.

  11. The client remains responsible for all important information shared with Clerissa LTD to include, though not limited to: images / videos / written content / logos / trademarks / information. The client agrees to indemnify Clerissa LTD from and against any losses, claims, damages, expenses or liabilities which it may incur as a result of your breach of this paragraph.  â€‹

  12. Clerissa LTD shall be entitled to disclose any Confidential Information it receives to those of its employees and third party suppliers who have a need to know such information.

  13. Both parties agree to comply with Data Protection Legislation, specifically the Data Protection Act 1998 and the General Data Protection Regulation (GDPR) 2018. By signing this contract your employees consent to Clerissa LTD sending general information of interest.

  14. These terms and conditions are subject to English law and the jurisdiction of the English courts.
